Kirin Holdings Co. has agreed to acquire all outstanding shares of Jamieson Wellness Inc. in an all-cash transaction valued at $2.5 billion.
Under the terms of the agreement, the Japanese conglomerate will pay $45.75 per share for the Canadian vitamin and supplement manufacturer.
The deal marks a significant expansion for Kirin into the North American health and wellness sector, leveraging Jamieson’s established retail presence and brand recognition across Canada and the United States.
The acquisition follows a period of active interest in the Toronto-based company, which had previously confirmed it was in discussions with potential buyers after receiving an unsolicited takeover offer.
The final agreement with Kirin brings closure to those talks, positioning the Japanese firm as the sole acquirer in a competitive landscape that had drawn attention from multiple strategic investors.
The transaction is subject to customary closing conditions, including shareholder approval and regulatory clearances.
